3. Legal Jurisdiction and Business Entity

5. Subscriptions and Billing

5.1 Subscription Tiers

The Service is provided through multiple subscription tiers (Free, Growth, Scale, Enterprise) with varying features, usage limits, and pricing. Subscription features and limits are outlined on our website and in your account dashboard.

5.2 Billing

Subscription fees are billed in advance on a recurring basis (monthly or annually, as selected). You authorize us to charge your payment method on file for all applicable fees.

5.3 Payment Terms

All fees are non-refundable unless otherwise stated in writing. If payment fails, we may suspend or terminate your access to the Service until payment is received.

5.4 Cancellation and Refunds

7. AI-Generated Content Disclaimer

7.1 Nature of AI-Generated Content

You acknowledge and understand that:

• AI-generated content is produced by machine learning models and may contain errors, inaccuracies, or inconsistencies
• AI responses are based on patterns learned from training data and the documents you provide
• We do not guarantee the accuracy, completeness, or reliability of AI-generated content
• AI-generated content should be reviewed and verified before being used for important decisions or publications
• The Service is a tool to assist your work, not a replacement for human judgment and expertise

7.2 AI Content Limitations

AI Companion responses and generated content:

• May contain factual errors or misinterpretations of source documents
• May not reflect the most current information if source documents are outdated
• Should be verified against original source materials when accuracy is critical
• May reflect biases present in training data or uploaded documents
• Are not professional advice (legal, medical, financial, etc.) unless explicitly provided by a qualified professional

7.3 User Responsibility

You are responsible for:

• Reviewing and verifying AI-generated content before use
• Ensuring you have the right to upload and analyze documents you provide to the Service
• Complying with copyright and intellectual property laws when using generated content
• Making independent decisions and not relying solely on AI-generated recommendations
• Using the Service in accordance with applicable laws and professional standards

8. User Accountability and Liability

You expressly acknowledge that:

• We provide AI-powered tools and analysis, not guarantees of specific outcomes
• Results and outcomes depend on the quality of input documents, your use of the Service, and external factors
• You are solely responsible for decisions made based on AI-generated content or insights
• You will not hold us liable for errors, inaccuracies, or consequences arising from use of AI-generated content
• You are responsible for ensuring you have the right to upload and use documents on the Service
• You are responsible for verifying the accuracy of AI-generated content before use in critical applications

9. Intellectual Property Rights

9.1 Our Intellectual Property

The Service, including all software, AI models, algorithms, user interface, branding, and platform technology, is owned by Combined Intelligence (Pty) Ltd and protected by intellectual property laws. The Combined Intelligence platform and AI Companions technology are the exclusive property of Combined Intelligence (Pty) Ltd.

You receive a limited, non-exclusive, non-transferable license to access and use the Service according to your subscription tier. You may not:

• Copy, modify, reverse engineer, or create derivative works from the Service
• Resell, sublicense, or commercialize access to the Service
• Extract or attempt to extract the underlying AI models or algorithms
• Remove or modify any proprietary notices or branding

9.2 Your Content

You retain ownership of all documents, data, and materials you upload to the Service ("Your Content"). By uploading Your Content, you grant us a limited license to:

• Create embeddings and indexes of Your Content for search and retrieval
• Use anonymized, aggregated data to improve the Service (no personally identifiable information)

You represent and warrant that you have all necessary rights to upload Your Content and grant us this license.

9.3 AI-Generated Content

Content generated by AI Companions and other AI features of the Service is owned by you, subject to our underlying intellectual property rights in the Service itself. You may use AI-generated content for any lawful purpose, but you remain responsible for ensuring such use complies with applicable laws and third-party rights.

10. Data Security and Confidentiality

10.1 Data Security

We implement reasonable technical and organizational security measures to protect Your Content and personal information, including:

• Encryption of data in transit and at rest
• Access controls and authentication mechanisms
• Regular security assessments and updates
• Multi-tenant data isolation to prevent cross-organization data access

However, no system is completely secure. You acknowledge that you upload content at your own risk.

10.2 Confidentiality

We will maintain the confidentiality of Your Content and will not share it with third parties except:

• As necessary to provide the Service (e.g., third-party AI providers under confidentiality agreements)
• With your explicit consent
• As required by law or legal process
• To protect our rights, property, or safety
• In anonymized, aggregated form that cannot identify you or your organization

10.3 Your Responsibilities

You are responsible for:

• Maintaining the confidentiality of your account credentials
• Controlling who within your organization has access to the Service
• Not uploading highly sensitive data (e.g., passwords, credit card numbers) unless absolutely necessary
• Complying with your own organization's data security and confidentiality policies

12. Disclaimers and Limitations of Liability

12.1 Service Provided "As Is"

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Service will be:

• Uninterrupted, timely, secure, or error-free

• Accurate, reliable, or complete
• Meeting your specific requirements or expectations

12.2 AI Content Disclaimer

We make no warranties or guarantees regarding:

• Accuracy, completeness, or reliability of AI-generated content
• Suitability of AI-generated content for any particular purpose
• Results or outcomes from using the Service or AI-generated content
• Quality or usefulness of insights derived from document analysis

12.3 Limitation of Liability

To the maximum extent permitted by law, Combined Intelligence (Pty) Ltd, its directors, officers, employees, contractors, and affiliates shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, goodwill, or business opportunities
• Data loss or corruption (maintain your own backups of important documents)
• Errors, inaccuracies, or omissions in AI-generated content
• Decisions or actions taken based on AI-generated content or analysis
• Unauthorized access to your account or data
• Service interruptions, outages, or technical issues
• Third-party actions or services integrated with the Service

Our total liability for any claims arising from or related to the Service shall not exceed the lesser of: (a) the amount you paid us in the twelve (12) months preceding the claim, or (b) ZAR 10,000.

13. Indemnification

You agree to indemnify, defend, and hold harmless Combined Intelligence (Pty) Ltd and its officers, directors, employees, contractors, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms or applicable laws
• Your Content, including any copyright or intellectual property infringement claims
• Decisions or actions taken based on AI-generated content from the Service
• Your violation of any third-party rights (privacy, intellectual property, etc.)
• Unauthorized access to your account due to your failure to maintain security
• Claims by members of your organization or third parties who use your account

14. Termination and Suspension

14.1 Termination by You

You may terminate your account and cancel your subscription at any time through your account settings. Termination will take effect at the end of your current billing period. You may also request immediate account deletion by contacting us.

14.2 Termination or Suspension by Us

We reserve the right to suspend or terminate your access to the Service immediately, with or without notice, for:

• Violation of these Terms or applicable laws
• Non-payment of fees
• Fraudulent, abusive, or illegal activity
• Uploading malicious content or attempting to compromise the Service
• Excessive use that degrades Service performance for other users
• Developing competing services using our platform
• Any conduct that we reasonably believe harms us or other users

14.3 Effect of Termination

Upon termination of your account:

• Your right to access the Service immediately ceases
• You remain liable for all outstanding fees owed
• We may delete Your Content and account data within 30 days (export your data before terminating)
• Sections of these Terms that by their nature should survive (IP rights, disclaimers, limitations of liability, indemnification) continue to apply
• No refunds will be provided for unused subscription time unless required by law

14.4 Data Export

Before terminating your account, you should export any important data. We provide data export functionality in your account settings. We are not responsible for data loss after account termination.

15. Third-Party Services and AI Providers

Important Notice: The Service integrates with and uses third-party AI providers and services. Combined Intelligence (Pty) Ltd is an independent platform and is NOT affiliated with, endorsed by, or an official representative of any third-party AI provider.

15.1 Third-Party AI Models

The Service uses AI models from third-party providers including but not limited to:

• OpenAI (GPT models)
• Anthropic (Claude models)
• Google (Gemini models)
• xAI (Grok models)
• Other AI service providers

Your use of the Service may involve Your Content being processed by these third-party AI providers in accordance with their terms of service and privacy policies.

15.2 No Endorsement

We do not endorse or guarantee the performance, accuracy, or suitability of any third-party AI models or services. Third-party terms, policies, and capabilities may change without notice.

15.3 Your Responsibility

You are responsible for ensuring your use of the Service and third-party AI models complies with applicable laws, regulations, and your own organizational policies.

16. Modifications to Terms and Service

16.1 Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

18. Dispute Resolution

18.2 Arbitration

If informal resolution fails within 30 days, disputes may be resolved through binding arbitration in accordance with the Arbitration Act 42 of 1965 of South Africa. Arbitration proceedings shall be held in Johannesburg, South Africa, and conducted in English.

18.3 Jurisdiction and Governing Law

These Terms are governed by the laws of the Republic of South Africa. Any legal proceedings not subject to arbitration shall be subject to the exclusive jurisdiction of the courts of South Africa.

18.4 Exceptions

Nothing in this section prevents either party from seeking injunctive relief in court to protect intellectual property rights or prevent unauthorized access to the Service.

19. Miscellaneous Provisions

19.1 Entire Agreement

These Terms, together with our Privacy Policy and any applicable order forms or subscription agreements, constitute the entire agreement between you and Combined Intelligence (Pty) Ltd regarding the Service and supersede all prior agreements and understandings.

19.2 Severability

If any provision of these Terms is found invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions remain in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemics, strikes, governmental actions, or failures of third-party services or infrastructure.

19.6 Independent Contractor

The relationship between you and Combined Intelligence (Pty) Ltd is that of independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.

19.7 Language

These Terms are drafted in English. Any translation is provided for convenience only. In the event of any conflict, the English version shall prevail.

19.8 Export Compliance

You agree to comply with all applicable export and import laws and regulations. You represent that you are not located in, under the control of, or a national or resident of any country subject to embargo or sanctions.
